Immigration Law The firm’s immigration attorneys have a comprehensive knowledge of the legal, political and business context in which immigration and naturalization concerns arise. We have a reputation for responsiveness and efficiency, as well as a thorough understanding of immigration law and knowledge of bureaucratic intricacies, frequently dealing with decision makers at the BCIS, BHS, Departments of State and Labor. Transactional/Contract Practise The firm assists individual and business engaged in commercial transactions in one form or another. Whether it is the sale of goods or services, the granting of security in your business assets, warranty issues, selling or obtaining goods on consignment, commercial leasing, or any type of commercial dispute, we have the experience and expertise to steer you through the complex laws pertaining to commercial transactions. We routinely advise clients on how to structure contracts to maximize their protection and avoid commercial disputes, and we counsel clients on how to resolve disputes if they should arise.
Business Law The firm has assisted individuals, corporation and entrepreneurs in the creation and ongoing representation of various business entities including corporations, partnerships, limited partnerships, limited liability partnerships and limited liability companies, joint venture agreement. We assist clients in the formation, restructuring, and, if necessary, the orderly dissolution of corporations. This experience includes preparation of the necessary Articles of Incorporation, Bylaws, corporate records and other filings, as well as negotiating and drafting corporate contracts, providing advice regarding dividend policies and extraordinary corporate transactions. We have represented individuals and business clients in ongoing legal matters and through a variety of business transactions, such as mergers and acquisitions; stockholder agreements; corporate succession planning; venture capital transactions; licensing of software and other intellectual property; bank financings; private offerings of equity and debt securities; private placements of equity and debt securities; employment arrangements; stock incentive plans; compensation agreements, stock option agreements, non competition agreements, intellectual property agreements; severance agreements; supply and distribution agreements; internet commerce agreements; franchise agreements; real estate leasing and acquisitions; and other business transactions. We have advised non-profit organizations, services include qualification of organizations as tax exempt under the Internal Revenue Code, advising clients as to the provisions regarding unrelated business taxable income, and obtaining exemptions for various state and local property, sales and unemployment taxes.
Employment Law The firm represents both employers and employees in matters involving all aspects of the employment relationship, including discrimination, compensation and benefits, contracts, litigation, and insurance coverage for employment related claims. We counsel employers in such matters as the design and implementation of executive compensation programs, preparation of non-competition and change in control agreements, the development and maintenance of personnel manuals and policies, advice concerning wage and hour regulations and the design and enforcement of workplace policies, including non-discrimination, privacy, computer, and internet policies. We also advise employers regarding the termination of employees, reduction in force and early retirement programs. In addition, we frequently advise key employees regarding their rights and obligations to existing and past employers, stock options, non-competition clauses, and other aspects of employment contracts. The firm represents employers and employees in litigation in federal and state courts and before government agencies, such as the Massachusetts Commission Against Discrimination. Our employment cases have involved wrongful termination, contract disputes, violation of state and federal anti-discrimination laws, harassment and state common law claims.
Litigation Practice The firm has successfully represented both business and individuals involved in litigation and all forms of dispute resolution. Claims we have litigated include breach of contract, false or fraudulent misrepresentation, all forms of insurance litigation, construction, enforcement of administrative agency regulations, employment disputes, personal injury matters (both plaintiff and defense), trade secrets, claims of unfair competition or unfair and deceptive acts and practices in trade or commerce, mortgage foreclosures, commercial litigation, and collection of disputed accounts. We recognize the desire of our clients to achieve their goals with the greatest possible efficiency. Our lawyers are skilled negotiators who regularly resolve disputes to the satisfaction of our clients through direct negotiation and such alternative dispute resolution techniques as arbitration and mediation. These efforts achieve favorable results while avoiding the expense, delay and uncertainty often associated with the full litigation process.
Real Estate Law The firm represent private lenders, developers, corporations and individuals in a broad spectrum of real estate transactions and land use matters. We counsel developers in the acquisition and sale of all types of real estate. Our services include negotiating purchase and sale agreements and financing documents, organizing title holding entities, conducting title and land use due diligence and preparing deeds and easements. We also represent developers in the creation and sellout of residential subdivisions and condominium complexes. We assist individuals in the acquisition and sale of residential properties and development of multifamily structures. Our representation includes advice concerning loan commitment letters, review of title, environmental and land use issues and preparation of purchase and sale agreements and security instruments. We advise private lenders in making housing and leasehold loans. We have extensive experience in loan workouts involving real estate as well as conducting mortgage foreclosures and structuring transactions involving deeds in lieu of foreclosure. Our practice covers representation of landlords and corporation in the preparation and negotiation of commercial leases covering industrial, office and retail properties.
Family Law The firm has an active family law practice representing clients in a full range of matters before the Family and Probate Courts. These include all types of divorce proceedings as well as adoption, custody and visitation disputes. We also provide post-divorce relief in the form of modification and contempt litigation. Our extensive experience in the bankruptcy field also enhances our representation of clients in complex cases where divorce and bankruptcy issues are intertwined. In addition, we provide pre-marital and post-marital advice regarding asset allocation, including the drafting and implementation of pre-nuptial agreements and estate advice and planning.
INTERNATIONAL LAW The firm has expertise and resources to assist clients in developing a sensible and practical strategy to address international legal issues related to doing business in India and Nigeria. To better serve clients in the international arena, we have partnered with independent local law firms in India and Nigeria to provide expertise in international tax planning, technology transfers, import and export laws, overseas manufacturing, immigration of workers into the U.S., international joint ventures, commercial contracts, and licensing. |
